Terms of Service

1. Agreement to Terms

By accessing the Seaquel website ("Website") or downloading, installing, or using the Seaquel software ("Software"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Website or Software.

These Terms constitute a legal agreement between you and Webstone Technologies Inc. ("Webstone", "we", "us", or "our"), a corporation incorporated in British Columbia, Canada.

2. Definitions

  • "Source Code" means the contents of the Seaquel source repository at github.com/webstonehq/seaquel.
  • "Official Binaries" means the Seaquel desktop application builds distributed by Webstone through the Website, our GitHub Releases page, and the in-application updater, including all updates and documentation.
  • "Official Server" means the Seaquel container image published by Webstone at ghcr.io/webstonehq/seaquel and the hosted Seaquel Cloud service.
  • "Software" means the Official Binaries and the Official Server collectively.
  • "Website" means the Seaquel marketing website and any associated web services.
  • "License" means the right to use the Software under the applicable license terms.
  • "Commercial Use" means any use of the Software in connection with a business, commercial enterprise, or revenue-generating activity, including use by employees, contractors, or freelancers in the course of their work.

3. License Grant

Source Code. The Source Code is released under the MIT License. You may view, modify, distribute it, and build and run your own binaries from it in accordance with the MIT License terms, including for Commercial Use, without any license from Webstone. These Terms do not restrict your rights under the MIT License.

Official Binaries. The Official Binaries are distributed under these Terms rather than the MIT License. They are free to use for personal, non-commercial purposes. Commercial Use of the Official Binaries requires a valid commercial license purchased through the Website. Using the Official Binaries for Commercial Use without a valid license is a violation of these Terms.

Official Server. Use of the Official Server requires a valid subscription purchased through the Website, including for personal, non-commercial purposes.

4. Commercial License Terms

Commercial licenses are offered as annual subscriptions in two tiers:

  • Individual License — for a single person using the Software commercially. Permits activation on one device. Not transferable to another person.
  • Business License — for teams and organizations. Sold on a per-seat basis. Each seat permits activation on one device. Seats are transferable: you may deactivate a seat and reassign it to a different team member at no additional cost.

When a commercial license expires, you retain the right to use the version of the Software that was current at the time of expiration. You will no longer receive updates or new versions until you renew.

5. Payment and Billing

All payments are processed by our third-party payment provider, Dodo Payments. By making a purchase, you agree to Dodo Payments' terms of service. Webstone does not store your payment card details.

Commercial licenses are billed annually. Prices are listed on the Website and may change. Any price changes will take effect at your next renewal, not during a current subscription period.

We offer a 30-day money-back guarantee. If you request a refund within 30 days of a purchase, including a renewal, we will refund the full amount, no questions asked. To request a refund, email support@seaquel.app. Once a refund is issued, the associated license is deactivated. Requests made after 30 days are handled at our discretion.

6. Acceptable Use

You agree not to:

  • Circumvent, disable, or tamper with the license activation or validation mechanisms of the Software.
  • Share, distribute, or publish your license key for others to use.
  • Redistribute the Software as your own product or under a different name without clear attribution.
  • Use the Website or Software in any way that violates applicable laws or regulations.

7. Intellectual Property

The Source Code is licensed under the MIT License. The Seaquel name, logo, branding, website content, and documentation are the property of Webstone Technologies Inc. and are protected by applicable intellectual property laws.

The MIT License applies to the Source Code only. It does not grant any rights to the Seaquel trademarks or branding. Binaries you build from the Source Code may not be distributed under the Seaquel name, logo, or branding.

8. Disclaimer of Warranties

The Software and Website are provided "as is" and "as available" without warranties of any kind, whether expressed, implied, or statutory. We disclaim all warranties, including but not limited to merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Software will be error-free, uninterrupted, or free of harmful components. You use the Software at your own risk.

9. Limitation of Liability

To the maximum extent permitted by applicable law, Webstone Technologies Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or business opportunities arising out of or related to your use of the Software or Website.

Our total aggregate liability for any claims arising under these Terms shall not exceed the total amount you paid to us for the Software in the twelve (12) months preceding the claim.

10. Governing Law

These Terms are governed by and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of British Columbia, Canada.

11. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the "Effective date" at the top of this page. Your continued use of the Software or Website after any changes constitutes your acceptance of the updated Terms.
